But first, a summary... Sessionsound.com is an independent music site, for both musicians and fans. Musicians can create and maintain a profile on the site, and offer their music for sale. Fans are able to browse and listen to the music on the site, provide reviews and ratings, and support the musicians by buying their music. Artists are able to upload and share their music, or offer it for sale. MP3's are available on the site for streaming, sharing, and for sale. In addition. through our on demand manufacturing process, artists can offer physical CDs for sale as well, and sessionsound.com will manufacture and distribute their CDs at no upfront cost. There are 3 main parts to the sessionsound site: Soundlounge Users of the site can browse our music catalogue – search, listen, review, and buy the music uploaded and managed by the artists from sessionsound. Greenroom For artists to set up and manage their profiles, and upload and share their music with the sessionsound community Airplay Radio (coming soon) Be your own DJ! That's right – create your own radio show and broadcast it for the world to hear. COMING SOON. Contact us to be kept informed of latest developments. Soundlounge, for fans. 1. What is the soundlounge? The Soundlounge is your independent music library. You can search and listen to music, set up a playlist, and review/rate music. You can even buy the music from the site, either as an digital file, or as a traditional, good old fashioned CD. 2. Does it cost anything to listen to the music in the soundlounge? Nope. Nada. To listen to the music, via streaming media, is free. Then it's up to the bands whether to charge you for downloading their music to keep – it is theirs, after all. 3. Do I have to be a member of your site to use the soundlounge? No, not at all. You can listen, download, and buy music from the soundlounge without being a member of our site. However, some features are only available to members, and fan membership is totally free, so you got to ask yourself – why not? 4. What can I do as a fan member? Lots of things:

| Greenroom, for musicians. 1. What is the greenroom? The Greenroom is like your home base as a musician. You can create and manage your artist profile through greenroom, which includes a bunch of cool features, like:
2. What can I do in the greenroom? You can upload, edit, preview, and publish all changes to your profile and music catalogue through the greenroom. In addition to that, we provide a few tools for you to check on how your profile and music is faring on sessionsound, including traffic and sales of your music. 3. How do I sell my music on sessionsound? There are two ways artists can offer music for sale on sessionsound. Digital sales or CD sales. Both of them appear in the “soundlounge” section of the site. Sales on Sessionsound are currently facilitated through the industry-leading payment gateway, Paypal. All customer payments are processed through Paypal. In order to receive your profits through Sessionsound, you will need to open up a Paypal account, through which Sessionsound will pay you every month. Use the “Music Upload” feature in your Greenroom profile to set up your albums, and select whether you want to sell the music digitally or as physical CDs, or both. 4. What about my cover artwork and lyrics? Yes, you can include that too. In the Greenroom “Music Upload” section, you'll be asked to upload pictures and lyrics to include alongside your album listing in the 'Soundlounge'. For the CD-on-demand service, you'll be asked to include your artwork that adheres to our Sessionsound Templates. 5. How does your on demand manufacturing work? Ok here goes... You have to be a premium member to use the CD-on-demand service.
All content you submit for the site has to meet our content policy and our general terms of use. As you will note in those impressively long documents, you also must have all necessary rights required to upload, share, and sell the music you upload with sessionsound.com, including rights to all the music used in your CD and the graphics/images used on your cover art. You may not sell compilations of other artists’ works without their explicit, written permission, which we may request before enabling a title. 8. What do you charge for shipping? | Sessionsound.com is a music service that allows Members to create and view profiles online in order to promote and sell their original creative work, including music. The services offered by sessionsound.com ("sessionsound" or "we") include the sessionsound.com website (the "Sessionsound Website"), the sessionsound.com Greenroom, the sessionsound.com Soundlounge, the sessionsound.com Airplay Radio service, and any other features, content, or applications offered from time to time by sessionsound.com in connection with the Sessionsound Website (collectively, the "Sessionsound Services"). Sessionsound is operated and owned by Mockingbird Pte. Ltd (“Mockingbird”), and for the purposes of this document and other purposes, the term “Sessionsound” denotes both Sessionsound.com and Mockingbird. These Terms of Service ("TOS" or “Agreement”) sets forth the legally binding terms for your use of the Sessionsound Services. By using the Sessionsound Services, you are agreeing to be bound by this TOS, whether you are a "Visitor" (which means you are browsing through or using the Sessionsound Website without membership) or you are a "Member" (which means that you have registered with Sessionsound.com). The term "User" refers to a Visitor or a Member. Members can be either musicians using the site for promotional and commercial purposes (referred to herein as “Artists”), or users wishing to listen to or purchase music, or find information about Artists on the site (referred to herein as “Fans”). You are only authorized to use the Sessionsound Services (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to this Agreement. Please read this Agreement carefully and save it. If you do not agree with it, you should leave the Sessionsound Website and discontinue use of the Sessionsound Services. Sessionsound reserves the right to add, delete and/or modify any of the terms and conditions contained in these TOS, at any time and in its sole discretion, by posting a change notice or a new agreement on the sessionsound.com Web Site. In the event of substantive changes to this TOS, you may be notified by email. If any modification is unacceptable to you, your only recourse is to not use the Web Site and the Sessionsound Service. Your continued use of the Sessionsound Website following posting of a change notice or new TOS on the Sessionsound Website will constitute binding acceptance of the changes. Should a matter arise that is not covered in these TOS, it will be resolved at Sessionsound's sole discretion, which may include conversation with the affected parties and within governing law. We may, though we are not obliged to, incorporate the resolution of the situation into these global terms. If a member disagrees with the resolution, their recourse will be to delete their account and discontinue use of the Sessionsound Website and Sessionsound Services. 1. The Sessionsound.com Service. Sessionsound provides a number of Internet-based services through the Sessionsound Website (all such services, collectively, the "Sessionsound Services"). Sessionsound.com is a music site for the promotion and sale of Artists' original works, and as such offers a number of services to assist in this objective, including (but not limited to): Member profiles that may include text, photos, streaming or digital music, contact information, among others Music catalogue (known as the “Soundlounge”) for the sale of digital or physical music products. Including CDs using our on-demand manufacturing service. Streaming media and podcasting services, known as “Airplay Radio” Sessionsound may offer a number of other services on Sessionsound Website, such as online radio, music charts, message boards, contests, and newsletters, which may change from time to time. 2. Use of the Sessionsound.com Website and Service. 2.1 Authority. You have all the necessary right and authority to enter into this Agreement (on your own behalf or on behalf of an entity/person you are entering this agreement), and to perform any duties or responsibilities as outlined in these TOS and other sessionsound.com policies. You are not barred from participating in this service under the laws of your jurisdiction. 2.2 Eligibility. Sessionsound will only knowingly provide the Sessionsound Services to parties that can lawfully enter into and form contracts under applicable law. If you are under the age of 18, but at least 13 years of age, you may use the Sessionsound.com Service only under the supervision of a parent or legal guardian who agrees to be bound by these TOS. The Sessionsound Services and Sessionsound Website are not intended for children under the age of 13. 2.3 Compliance with TOS and Applicable Law. You must comply with all of the terms and conditions of these TOS, the applicable agreements and policies referred to below, and all applicable laws, regulations and rules when you use the Sessionsound Services and the Sessionsound Website. 2.4 Fees. You acknowledge that Sessionsound reserves the right to charge for the Sessionsound Services and/or Sessionsound Website. We also reserve the right to change our fees from time to time based on discretion. If Sessionsound terminates your membership for breach of these TOS, we will not be liable to refund to you any unused portion of subscription or membership fees. 2.5 Your License to Use the Web Site and the sessionsound.com Service. (a) Sessionsound solely and exclusively owns all intellectual property and other rights, title and interest in and to the Sessionsound Service and Sessionsound Website, except as expressly provided for in these TOS. For example and without limitation, Sessionsound owns the copyrights in and to the Web Site, and certain technology used in providing the Sessionsound Services. You will not acquire any right, title or interest therein under these TOS or otherwise. (b) Sessionsound grants you a limited revocable license to access and use the Sessionsound Website and Sessionsound Services for its intended purposes, subject to your compliance with these TOS. This license does not include the right to collect or use information contained on the Sessionsound Website for purposes prohibited by Sessionsound; to compete with Sessionsound; create derivative works based on the content of the Sessionsound Website; or download or copy the Sessionsound Website (other than page caching). If you use the Sessionsound Website in a manner that exceeds the scope of this license or breach this TOS, Sessionsound may revoke the license granted to you. (c) For information regarding your intellectual property rights, please see section 3.0 of this TOS. 2.6 Third-Party Services. Sessionsound may use third parties to provide certain services accessible through the Sessionsound Website. Sessionsound does not control those third parties or their services, and you agree that Sessionsound will not be liable to you in any way for your use of such services. These third parties may have their own terms of use and other policies. You must comply with such terms and policies as well as these TOS when you use these services. If any such terms or policies conflict with these TOS, agreements or policies, you must comply with Sessionsound's TOS, agreements or policies, as applicable. 2.7 Non-commercial Use. The Sessionsound Website and Sessionsound Services may not be used in any commercial endeavours except those explicitly endorsed or approved by Sessionsound. By entering into this Agreement you are agreeing not to engage in illegal and/or unauthorised use of the Sessionsound Website and Sessionsound Services, including collecting usernames and/or passwords, email addresses, sending unsolicited promotional material, running unauthorized commercial endorsements, affiliate links, or other forms of solicitation. 2.8 Prohibited Uses & Inappropriate Behaviour. You may only use the Sessionsound Services and Sessionsound Website as expressly permitted by Sessionsound. You may not cause harm to the Sessionsound Website or Sessionsound Services. Specifically, but not by way of limitation, you may not: (i) interfere with the Sessionsound Website by using viruses or any other programs or technology designed to disrupt or damage any software or hardware; (ii) modify, create derivative works from, reverse engineer, decompile or disassemble any technology used to provide the sessionsound.com Service; (iii) use a robot, spider or other device or process to monitor the activity on or copy pages from the Sessionsound Website, except in the operation or use of an internet "search engine", hit counters or similar technology; (iv) collect electronic mail addresses or other information from third parties by using the sessionsound.com Service; (v) impersonate another person or entity; (vi) use any meta tags, search terms, key terms, or the like that contain sessionsound.com's name or trademarks; (vii) engage in any activity that interferes with another user's ability to use or enjoy the Sessionsound Service or Sessionsound Website; or (viii) assist or encourage any third party in engaging in any activity prohibited by these TOS. 2.9 Community Responsibility. You must not abuse, harass, threaten, impersonate or intimidate other users. You must not post on the Sessionsound Website, or transmit to other users any inaccurate, defamatory, abusive, obscene, profane, vulgar, tortuous, libelous, offensive, sexually oriented, threatening, harassing, hateful, harmful, racially offensive, illegal, or otherwise objectionable material, or any material that infringes or violates another party's rights (including, but not limited to, copyrights, licenses, other intellectual property rights, contractual or fiduciary rights and obligations, and rights of privacy and publicity). 2.10 Privacy Policy. By entering into these TOS, you agree to sessionsound.com's collection, use and disclosure of your personal information in accordance with the Privacy Policy. 2.11 Ordering Policies. If you purchase Products, you agree to do so in accordance with the guidelines and policies as stipulated on the Sessionsound Website. Sessionsound reserves the right to change these guidelines and policies from time to time. 2.12 Reporting Misuse. Should you become aware of misuse of the Sessionsound Services or Sessionsound Website by any person, please contact Sessionsound immediately by visiting the “Contact Us” link located on any Sessionsound Website page. 3. Content, Copyright, & Intellectual Property Rights. 3.1 Description. As part of the Sessionsound Services and Sessionsound Website, we offer a service (the "Greenroom") that allows you to upload audio, images, and other content (collectively, "Content") to the Web Site to create, produce, purchase, and offer for sale Products featuring the uploaded Content for your own use or as part of the “Soundlounge” music catalogue service. 3.2 Delivery of Content. You will upload or deliver to Sessionsound all Content that you want to use with the Sessionsound Services in accordance with the applicable instructions on the Sessionsound Website. Sessionsound may, in its sole and exclusive discretion, determine whether any Content complies with such instructions and is satisfactory for use with the Sessionsound Services. 3.3 Content Responsibilities. You are solely responsible for the Content that you post on or through the Sessionsound Services and Sessionsound Website. This includes any materials that you post or transmit to other users. Sessionsound does not endorse and has no control over this, and does not necessarily reflect the opinions or policies of Sessionsound. Sessionsound makes no warranties or guarantees, express or implied, as to the Content substance, accuracy, reliability, or any other information you transmit. 3.4 Copyright – Your Content. You will retain ownership of and rights to all text, music, files, images, photos, videos, sounds, lyrics, or any other materials (collectively, “Content”) that you upload to the Sessionsound Website. These rights are and remain non-exclusive, meaning that you can continue to use such content in any other way you choose with other parties. By posting content on the Sessionsound Website, you hereby grant to Sessionsound a royalty-free, worldwide, transferable, non-exclusive, right and license to use such Content, in all media existing now or created in the future, as Sessionsound deems necessary to enable you to use the Sessionsound Service or Sessionsound Website to create, produce, purchase, and sell Products for so long as your Content remains uploaded to the Web Site. Sessionsound may sublicense the rights that you grant it in this Section to a third party subcontractor only for purposes of producing your Products and providing the Sessionsound Service. 3.5 Intellectual Property Rights – You represent and warrant that you own the content posted by you on or through the Sessionsound Website and Sessionsound Service or otherwise have the right to grant the license set forth in this TOS. Further, the posting of your content on or through the Sessionsound Website does not violate the rights of any other person or party. You agree to pay for all royalties, fees, and any other monies owed to any person by reason of any content posted by you to or through the Sessionsound Website or Sessionsound Service. 3.6 Reporting. Should you become aware of Intellectual Property Infringement of the Sessionsound Services or Sessionsound Website by any person, please contact Sessionsound immediately by visiting the “Contact Us” link located on any Sessionsound Website page. 4. Reservation of Rights. 4.1 Monitoring. Sessionsound reserves the right, but does not assume the obligation, to monitor transactions and communications that occur through the Sessionsound Website. If Sessionsound determines, in its sole and absolute discretion, that you or another user will breach a term or condition of these TOS or that such transaction or communication is inappropriate, Sessionsound may cancel such transaction or take any other action to restrict access to or the availability of any material that may be considered objectionable, without any liability to you or any third party. 4.2 Modification of the Service. Sessionsound may modify the Sessionsound Services or Sessionsound Website at any time with or without notice to you, and will incur no liability for doing so. 4.3 Availability. Sessionsound may suspend, change, or discontinue all or any part of the Sessionsound Services or Sessionsound Website at any time, with or without reason. By entering into this TOS, you acknowledge that the availability of the Sessionsound Services or Sessionsound Website may be disrupted from time to time, for scheduled maintenance, unforeseen technical issues, or other reasons. In such instances, Sessionsound will not be liable to you or others for any such interruptions, errors, or problems or an outright discontinuance of the Sessionsound Services or Sessionsound Website. 5. Submissions. When you submit questions, comments, suggestions, ideas, message board postings, material submitted via web forms, contest entries, communications or any other information ("Submissions"), you grant Sessionsound permission to use such Submissions for marketing and other promotional purposes, including the right to sublicense. You agree that Sessionsound will have no obligation to keep any Submissions confidential. You will not bring a claim against Sessionsound based on "moral rights" or the likes arising from Sessionsound's use of a Submission. This Section does not apply to your Content that you use in connection with the Soundlounge Service or Greenroom Service. 6. Representations and Warranties. 6.1 Mutual Representations and Warranties. You represent and warrant to Sessionsound and Sessionsound represents and warrants to you: (i) that you or it has the full power and authority to enter into and perform under these TOS, (ii) the execution and performance of your or its obligations under these TOS do not constitute a breach of or conflict with any other agreement or arrangement by which you or it is bound, and (iii) these TOS are a legal, valid and binding obligation of the party entering into these TOS, enforceable in accordance with their terms and conditions. 6.2 By You. You represent and warrant to Sessionsound that, in your use of the Sessionsound Services and Sessionsound Website, you: (i) will not infringe the copyright, trademark, patent, trade secret, right of privacy, right of publicity or other legal right of any third party and (ii) will comply with all applicable laws, rules, and regulations You further represent and warrant to Sessionsound that: (i) there are no claims, demands or any form of litigation pending, or to the best of your knowledge, threatened with respect to any of your Content; (ii) Sessionsound will not be required to make any payments to any third party in connection with its use of your Content, except for the expenses that Sessionsound incurs in providing the Sessionsound Services and Sessionsound Website; (iii) the use of any instructions, formulae, recommendations, or the like contained in your Content will not cause injury to any third party; and (iv) your Content does not contain viruses or any other programs or technology designed to disrupt or damage any software or hardware. 7. Disclaimers and Exclusions. 7.1 DISCLAIMER OF WARRANTIES. SESSIONSOUND PROVIDES THE WEBSITE AND SESSIONSOUND SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. SESSIONSOUND DOES NOT REPRESENT OR WARRANT THAT THE SESSIONSOUND WEBSITE, SESSIONSOUND SERVICES OR ITS USE: (i) WILL BE UNINTERRUPTED, (ii) WILL BE FREE OF INACCURACIES OR ERRORS, (iii) WILL MEET YOUR REQUIREMENTS, OR (iv) WILL OPERATE IN THE CONFIGURATION OR WITH THE HARDWARE OR SOFTWARE YOU USE. SESSIONSOUND MAKES NO WARRANTIES OTHER THAN THOSE MADE EXPRESSLY IN THESE TOS, AND HEREBY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY AND NON-INFRINGEMENT. 7.2 EXCLUSION OF DAMAGES. SESSIONSOUND WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE OR SPECIAL DAMAGES (INCLUDING DAMAGES RELATING TO LOST PROFITS, LOST DATA OR LOSS OF GOODWILL) ARISING OUT OF, RELATING TO OR CONNECTED WITH THE USE OF THE SESSIONSOUND SERVICE, BASED ON ANY CAUSE OF ACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 8. Limitation of Liability 8.1 LIMITATION OF LIABILITY. EXCEPT FOR A BREACH OF A PARTY'S REPRESENTATIONS AND WARRANTIES UNDER THESE TOS OR IN CONNECTION WITH YOUR INDEMNITY OBLIGATIONS UNDER THESE TOS, IN NO EVENT WILL THE LIABILITY OF EITHER PARTY IN CONNECTION WITH THESE TOS EXCEED THE GREATER OF (i) THE AMOUNT PAID BY SESSIONSOUND TO YOU DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT THAT GIVES RISE TO SUCH LIABILITY OR (ii) $100. Indemnification. You must indemnify and hold Sessionsound and its employees, representatives, agents, affiliates, directors, officers, managers and shareholders (the "Parties") harmless from any damage, loss, or expense (including without limitation, attorneys' fees and costs) incurred in connection with any third-party claim, demand or action ("Claim") brought against any of the Parties alleging that you have breached any of these TOS through any act or omission. 10. Termination 10.1 Termination. Sessionsound may suspend or terminate your use of the Sessionsound Website or Sessionsound Services if it believes, in its sole and absolute discretion, that you have breached a term of these TOS. 10.2 Survival. Notwithstanding Section 10.1 above, these TOS will survive indefinitely unless and until Sessionsound chooses to terminate them. 10.3 Effect of Termination. If you or Sessionsound terminates your use of the Sessionsound Website or the Sessionsound Services, Sessionsound may delete any Content or other materials relating to your use of the Sessionsound's Services on our servers or otherwise in its possession and Sessionsound will have no liability to you or any third party for doing so. 11. Notice. All notices required or permitted to be given under these TOS will be in writing and delivered to the other party by any of the following methods: (i) International mail, (ii) overnight courier, or (iii) electronic mail. If you give notice to Sessionsound, you must use the following addresses: c/- Mockingbird Pte Ltd, Orchard Post Office, PO Box 182, Singapore, 912307, If Sessionsound provides notice to you, Sessionsound will use the contact information provided by you to Sessionsound. All notices will be deemed received as follows: (i) if by delivery by international mail, seven (7) business days after dispatch, (ii) if by overnight courier, on the date receipt is confirmed by such courier service, or (iii) if by electronic mail, 24 hours after the message was sent, if no "system error" or other notice of non-delivery is generated. If applicable law requires that a given communication be "in writing," you agree that email communication will satisfy this requirement. 12. Dispute Resolution Recognizing the global nature of the Internet, you agree to comply with all applicable laws, statutes, regulations, rules and codes regarding online conduct, acceptable Content and use of the relevant services in Sessionsound. By entering into these TOS, you agree to submit to the non-exclusive jurisdiction of the courts of Singapore. Our failure to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision and to construe such provision to the maximum extent permitted by law so as to render that provision valid and enforceable, and that the other provisions of the TOS shall remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOS must be filed within one (1) year after such claim or cause of action arose or be forever barred. By entering into these TOS, you hereby irrevocably waive any right you may have to join claims with those of others in the form of a class action or similar procedural device. Any claim arising out of, relating to or connected with these TOS or your use of any part of the Sessionsound Services must be asserted individually. Notwithstanding anything to the contrary in this Section 12, sessionsound.com may seek equitable relief, including, without limitation, injunctive relief and specific performance, without the requirement of posting a bond or other security or proving money damages are insufficient, from a court of competent jurisdiction. 13. Miscellaneous These TOS will not be assignable or transferable by you without the prior written consent of sessionsound.com. These TOS (including all of the policies and other Agreements described in this TOS, which are hereby incorporated herein by this reference) contain the entire understanding of the parties regarding its subject matter, and supersedes all prior and contemporaneous agreements and understandings between the parties regarding its subject matter. No failure or delay by a party in exercising any right, power or privilege under these TOS will operate as a waiver thereof, nor will any single or partial exercise of any right, power or privilege preclude any other or further exercise thereof or the exercise of any other such right, power, or privilege. You and Sessionsound are independent contractors, and no agency, partnership, joint venture, or employee-employer relationship is intended or created by these TOS. The invalidity or unenforceability of any provision of these TOS will not affect the validity or enforceability of any other provision of these TOS, all of which will remain in full force and effect. I HAVE READ THIS AGREEMENT AND AGREE TO ALL OF THE PROVISIONS CONTAINED ABOVE. |

| If you're reading this, you've stumbled onto our little corner of the 'net and you're probably extremely bored. :-) Technology has done wonderful things for artists. It's helped with the creative process, the 'manufacturing' of our art, it's distribution and consumption. And not since Marconi's invention, bringing magical little airwaves into the homes (and later cars) of people all over the place, has a technology effected the musical arts quite like the internet. The thing that really makes the internet really special, that has made it the powder keg for a revolution, is it's ability to simultaneously connect people – a tangled web of interconnecting and reciprocal communication and contact. Connections, going both ways, instantaneously. And that's what's dangerous about the internet for the traditional music industry. For decades, they have been the gatekeepers of music – discovering and distributing music through vast networks of radio, manufacturing, and distribution. The connection between the artist and the music lover was filtered through a label, a label that controlled the means of distribution and therefore the attention of a captive audience. Then came the internet. And with the internet came the means for artists to connect directly with their audience, to find new fans, and to discover their own voice. Artists have the creative freedom to choose what they record, and an opportunity to get a bigger slice of the pie for their efforts. Fans have the opportunity to listen to music that hasn't been filtered by the corporation, tested and packaged for it's marketability. That's where sessionsound comes in.
